Please read these Terms of Service carefully before using Solara's services. These Terms form a legally binding agreement between you and Solara. By using our services, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the services provided by Solara ("Solara", "we", "us", or "our"), including our AI powered telephone answering, appointment booking, and business communication services (collectively, the "Services"). By subscribing to or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services. These Terms constitute a legally binding agreement between you and Solara. We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Services after such notification constitutes your acceptance of the updated Terms.

2. Description of Services

Solara provides AI powered telephone answering and business communication services to UK-based businesses. Our Services include, depending on your chosen plan: • 24/7 inbound call answering using AI voice technology • Appointment booking and calendar integration • Call transcription, recording, and summary delivery via email or SMS • Spam and cold call filtering • Outbound SMS and voice campaigns (Professional and Scale plans) • Post-call SMS follow-up messages • Integration with third-party CRM and practice management software The specific features available to you depend on the subscription plan you have selected. We reserve the right to modify, suspend, or discontinue any feature of the Services at any time, with reasonable notice where practicable.

3. Eligibility and Account Registration

To use our Services, you must: • Be at least 18 years of age • Be a registered business or sole trader operating lawfully in the United Kingdom • Provide accurate, complete, and current information during registration • Maintain the security of your account credentials You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion, including where we reasonably believe a user is in breach of these Terms.

4. Subscription Plans and Billing

Solara offers three subscription tiers: Starter (£199/month), Professional (£299/month), and Scale (£449/month). All prices are exclusive of VAT where applicable. Subscriptions are billed monthly in advance. Payment is due on the same date each month as your initial subscription date. We accept payment by credit card, debit card, and other methods as notified to you. Additional usage beyond your plan's included minutes will be charged at the overage rate applicable to your plan (Starter: £0.45/min; Professional: £0.35/min; Scale: £0.25/min). Overage charges are billed at the end of each billing period. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months or unused services, except where required by law. We reserve the right to change our pricing with 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

5. Acceptable Use

You agree to use our Services only for lawful business purposes and in accordance with these Terms. You must not use the Services to: • Conduct any activity that is unlawful, fraudulent, or harmful • Harass, threaten, or deceive callers or third parties • Violate any applicable law or regulation, including the UK GDPR and the Privacy and Electronic Communications Regulations (PECR) • Transmit unsolicited commercial communications (spam) without appropriate consent • Impersonate any person or entity, or misrepresent your affiliation with any person or entity • Interfere with or disrupt the integrity or performance of our Services • Attempt to gain unauthorised access to any part of our Services or systems We reserve the right to suspend or terminate your access to the Services immediately if we reasonably believe you are in breach of this clause.

6. Data Protection and Privacy

Solara processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, which forms part of these Terms, sets out in detail how we collect, use, store, and protect personal data. By using our Services, you acknowledge that: • Call recordings and transcripts may contain personal data of your callers • You are the data controller in respect of your callers' personal data • Solara acts as a data processor on your behalf in respect of such data • You are responsible for ensuring you have a lawful basis for processing callers' personal data through our Services • You must inform callers that their calls may be recorded and processed by an AI system, in accordance with applicable law We will process personal data only in accordance with your documented instructions and our Data Processing Agreement, which is available upon request.

7. Intellectual Property

All intellectual property rights in the Solara platform, software, technology, branding, and content are owned by or licensed to Solara. Nothing in these Terms grants you any right, title, or interest in our intellectual property. You grant Solara a non-exclusive, royalty-free licence to use, process, and store the data you provide to us solely for the purpose of providing the Services. You retain ownership of all content and data you provide to us. You represent and warrant that you have all necessary rights to provide such content and data, and that doing so does not infringe the rights of any third party.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Solara shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, business, or goodwill • Any loss arising from your inability to access or use the Services • Any loss arising from the actions or omissions of third parties Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you to Solara in the three months preceding the event giving rise to the claim. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

9. Service Availability and Uptime

We aim to provide the Services on a 24/7 basis, but we do not guarantee uninterrupted availability. The Services may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond our reasonable control. We will endeavour to provide advance notice of scheduled maintenance where practicable. We shall not be liable for any loss or damage arising from unavailability of the Services, except to the extent caused by our gross negligence or wilful misconduct.

10. Termination

Either party may terminate these Terms and your subscription at any time: • You may cancel your subscription through your account dashboard or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. • We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay any amounts due, or if we are required to do so by law. Upon termination, your right to use the Services will cease immediately. We will retain your data for 90 days following termination, after which it will be securely deleted, unless we are required by law to retain it for longer.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
